Terms of Service — Approved Capital Source

1. Purpose of this portal

This portal is a document intake and closing coordination tool used by Approved Capital Source(the "Broker") after underwriting approval, for the purpose of finalizing a funding agreement. Submitting documents through this portal does not itself constitute funding, nor does it guarantee that funding will occur.

2. Nature of the offer

The stated offer amount reflects an approval based on underwriting review already completed by the Broker or its funding partners. Final funding remains contingent on (a) execution of a definitive funding agreement, and (b) successful completion of bank account verification. The offer may be adjusted or withdrawn if information provided proves inaccurate, incomplete, or if verification fails.

3. What you authorize by uploading documents

By uploading identification and bank information (including a government-issued ID and a voided check), you authorize the Broker and its designated funding partners to use those documents to (i) prepare closing and contract documents, (ii) verify your identity and the bank account into which funds would be deposited, and (iii) communicate with you about this application. You represent that the documents you upload are yours and accurate.

4. Exclusivity during closing

You are expected to work exclusively with Approved Capital Source from the time of approval through execution of the funding agreement. Submitting the same file to another broker, funder, or lender during this period may delay, complicate, or void your file. This expectation is disclosed to you here and reinforced in-portal; whether it operates as a contractually binding commitment or a disclosed expectation depends on jurisdiction and any separately signed engagement, and should be reviewed with counsel.

5. Broker's role

Approved Capital Source operates as a broker arranging financing between merchants and third-party funding sources. Approved Capital Source is not itself the funder unless it expressly agrees otherwise in a separately signed writing.

6. Prohibited use

You may not upload documents belonging to another person without authorization, submit fraudulent documents, or attempt to access another merchant's file. Attempts to circumvent access controls will result in immediate termination of your file.

7. Governing law

These terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Any dispute arising out of or relating to these terms shall be resolved in the state or federal courts located in Florida.
